North Summit Digital – Terms of Service

Effective Date: June 30, 2026

By purchasing any service from North Summit Digital ("Company", "we", "our", or "us"), you ("Client", "you", or "your") agree to these Terms of Service.

1. Acceptance of Terms

By purchasing our services, submitting payment, or requesting work to begin, you acknowledge that you have read, understood, and agree to these Terms of Service.

2. Services

North Summit Digital provides professional digital services including, but not limited to:

  • Website Design & Development

  • Logo & Brand Design

  • Search Engine Optimization (SEO)

  • AI Creative & Advertising Services

  • Website Hosting & Maintenance

  • Business Email Setup

  • Other custom digital services

All services are performed according to the project scope agreed upon before work begins.

3. Payments

Unless otherwise agreed in writing:

  • All prices are listed in Canadian Dollars (CAD).

  • Full or partial payment may be required before work begins.

  • Payments are non-refundable except where required by applicable law.

  • Outstanding invoices may delay or suspend project work.

4. Custom Digital Work

Every website and digital project is custom created specifically for each client.

Because custom digital services require planning, design, development, consultation, and labor, completed work cannot be returned.

5. Revisions

Each project includes a reasonable number of revisions as outlined in the selected package or proposal.

Requests outside the original project scope may require an additional quote.

6. Client Responsibilities

The Client agrees to:

  • Provide accurate content, logos, images, and business information.

  • Respond to requests for feedback in a timely manner.

  • Ensure they have permission to use any content they provide.

  • Review and approve work before launch.

North Summit Digital is not responsible for delays caused by missing information or delayed communication.

7. Website Approval

The Client is responsible for reviewing the website before launch.

Approval of the completed website confirms that the Client accepts the design, functionality, and content as delivered.

After approval and launch, additional changes may be billed separately unless included in a maintenance plan.

8. No Guarantee of Business Results

While we use industry best practices, we do not guarantee:

  • Sales

  • Revenue

  • Search engine rankings

  • Lead generation

  • Customer growth

  • Advertising performance

  • Business success

Business performance depends on many factors outside our control.

9. Third-Party Services

Projects may rely on third-party providers including hosting companies, domain registrars, payment processors, email providers, APIs, plugins, or software.

North Summit Digital is not responsible for outages, pricing changes, discontinued services, security incidents, or other issues caused by third-party providers.

10. Website Care Plan

Clients enrolled in the Website Care Plan receive ongoing hosting, maintenance, updates, and technical support while their plan remains active.

If payment is not received within the applicable grace period, hosting and maintenance services may be suspended until the account is brought current.

11. Intellectual Property

Unless otherwise agreed in writing:

  • The Client owns the final website design and custom content after all project fees have been paid in full.

  • North Summit Digital retains ownership of its proprietary tools, workflows, templates, processes, and pre-existing materials used during development.

  • We may display completed projects in our portfolio and marketing materials unless otherwise agreed in writing.

12. Limitation of Liability

To the fullest extent permitted by law, North Summit Digital shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to lost profits, lost business opportunities, data loss, reputational harm, or business interruption arising from the use of our services.

Our total liability for any claim relating to a project shall not exceed the amount actually paid by the Client for the specific service giving rise to the claim.

13. Indemnification

The Client agrees to defend, indemnify, and hold harmless North Summit Digital, its owners, employees, and contractors from any claims, damages, losses, liabilities, costs, or legal expenses arising from:

  • Content supplied by the Client

  • Copyright or trademark infringement resulting from Client-provided materials

  • Misuse of the completed website

  • The Client's violation of these Terms

14. Termination

Either party may terminate a project in writing.

The Client remains responsible for payment for all work completed up to the date of termination.

15. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the Province of Ontario and the applicable laws of Canada.

16. Changes to These Terms

North Summit Digital may update these Terms of Service from time to time. The most current version will always be published on our website.
